Welcome to Psychiatry Insider. These Terms & Conditions (“Terms”) govern your access to and use of **psychiatryinsider.com** (the “Site”) and the content, newsletter, and services we provide through it. Please read them carefully.
By accessing or using the Site, subscribing to our newsletter, or otherwise interacting with our content, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
1. Who we are
Psychiatry Insider is the M&A intelligence platform for psychiatry and behavioral health ([registered entity name, if different / company number], [registered address]). References to “Psychiatry Insider,” “we,” “us,” or “our” mean Psychiatry Insider.
Psychiatry Insider is a **publication**, not an advisory firm. The independent advisory firm **Olympic M&A** (olympicma.com) executes transactions; Psychiatry Insider does not. See Sections 4 and 5.
2. Use of the Site
You may access and use the Site for your own lawful, personal, and professional purposes. You agree that you will not:
– use the Site in any way that breaches applicable law or regulation;
– copy, reproduce, republish, or redistribute our content except as permitted in Section 6;
– attempt to gain unauthorized access to the Site, its servers, or any connected systems;
– introduce malicious code, or use automated means to scrape or harvest content or data without our written permission;
– use the Site or its content to compete with, impersonate, or misrepresent Psychiatry Insider or Olympic M&A.
We may suspend, restrict, or withdraw access to the Site, in whole or in part, at any time and without notice.
3. Editorial content — informational only
**Psychiatry Insider publishes editorial content for general informational purposes only.** Our articles, market data, valuation ranges, multiples, charts, guides, and other materials are intended to help readers understand the market — they do **not** constitute, and should not be relied upon as, legal, tax, accounting, financial, investment, or medical advice.
In particular:
– **No guaranteed outcomes.** Any valuation range, EBITDA multiple, deal trend, or figure we publish is general or illustrative. It does not represent a valuation of your practice or business, an offer, or a prediction of any specific outcome. Every transaction is unique.
– **Forward-looking statements.** Statements about future market conditions are inherently uncertain and may prove inaccurate.
– **Do your own due diligence.** Before making any decision relating to a sale, acquisition, recapitalization, or other transaction, you should consult qualified legal, tax, accounting, and financial advisors regarding your specific situation.
> **Disclaimer:** This content is for informational purposes only and does not constitute legal, tax, accounting, or investment advice. Every transaction is unique; consult qualified advisors regarding your specific situation.
4. No advisory or client relationship
Your use of the Site, your subscription to our newsletter, and any correspondence with us do **not** create an advisory, fiduciary, broker, agent, or client relationship between you and Psychiatry Insider. We do not provide transaction advisory services through the Site.
If you wish to engage advisory services, those services are provided by **Olympic M&A** under a separate engagement and its own terms. Reading our content or contacting us does not engage Olympic M&A or any other advisor.
5. Relationship with Olympic M&A and third-party links
Olympic M&A is an independent, allied advisory firm. Psychiatry Insider may refer readers who are ready to explore a transaction to Olympic M&A, and our content may contain links to **olympicma.com** and to other third-party websites and sources.
We provide these links for convenience and reference. We do not control and are not responsible for the content, products, services, or privacy and data practices of any third-party site, including Olympic M&A. Accessing a third-party site is at your own risk and subject to that site’s terms.
6. Intellectual property
All content on the Site — including text, articles, data visualizations, charts, graphics, logos, the “Psychiatry Insider” name and keyhole device, and the overall look and feel — is owned by or licensed to Psychiatry Insider and is protected by intellectual property laws.
You may view, download, and print individual articles for your own personal or internal professional reference, provided you do not remove any attribution or copyright notices. You may **not**, without our prior written permission:
– republish, sell, license, or commercially exploit our content;
– reproduce our content in substantial part or systematically;
– use our trademarks, logo, or brand assets; or
– frame, mirror, or present our content as your own.
Brief quotation with clear attribution and a link back to the Site is permitted for commentary, news, or reference purposes.
7. User submissions and conduct
If the Site allows you to submit comments, enquiries, or other content, you are responsible for what you submit. You agree not to submit anything that is unlawful, defamatory, infringing, confidential to a third party, or otherwise inappropriate.
Please do **not** submit confidential or transaction-specific information through general Site forms. If you wish to have a confidential conversation about a potential transaction, we will direct you to Olympic M&A, who handle such matters under their own confidentiality terms.
By submitting content, you grant us a non-exclusive, royalty-free license to use, reproduce, and display it in connection with operating the Site, and you confirm you have the right to grant that license. We may remove any submission at our discretion.
8. Newsletter
When you subscribe to *The Insider Brief*, you consent to receive periodic emails from us. You may unsubscribe at any time using the link in any email. Your information is handled in accordance with our [Privacy Policy].
9. Disclaimers and no warranties
The Site and its content are provided “as is” and “as available.” To the fullest extent permitted by law, we make no warranties or representations, express or implied, about the Site or its content, including as to accuracy, completeness, timeliness, fitness for a particular purpose, or uninterrupted or error-free availability.
While we strive for accuracy and cite sources where appropriate, market data and figures may change, and we do not warrant that any information is current or free from error.
10. Limitation of liability
To the fullest extent permitted by law, Psychiatry Insider will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of (or inability to use) the Site or reliance on its content — even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
11. Indemnity
You agree to indemnify and hold harmless Psychiatry Insider and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your breach of these Terms or your misuse of the Site.
12. Privacy
Your use of the Site is also governed by our [Privacy Policy], which explains how we collect, use, and protect your personal information. By using the Site, you acknowledge that you have read it.
13. Changes to these Terms
We may update these Terms from time to time to reflect changes in our practices, the Site, or the law. When we do, we will revise the “Last updated” date above. Your continued use of the Site after a change takes effect means you accept the revised Terms.
14. Governing law and jurisdiction
These Terms, and any dispute arising out of or in connection with them or your use of the Site, are governed by the laws of [England and Wales]. You agree that the courts of [England and Wales] will have [exclusive] jurisdiction, except that we may bring proceedings in another jurisdiction where required to protect our rights.
